PTO Blackstone sulla finlandese Sponda Plc: «Flagging notification in accordance with Chapter 9 Section 10 of the Finnish Securities Markets Act »

Sponda Plc has on 6 June 2017 received a notification pursuant to the Finnish Securities Market Act (Section 9:5) that the holding of Polar Bidco S.à.r.l. in Sponda Plc’s shares is 7.50%.

 

Polar Bidco S.à r.l. (the “Offeror”), a corporation owned by funds advised by affiliates of The Blackstone Group L.P., and Sponda Plc (“Sponda”) have on June 5, 2017 entered into a combination agreement pursuant to which the Offeror will make a voluntary recommended public tender offer to purchase all issued and outstanding shares in Sponda (the “Tender Offer”). The Tender Offer was announced by the Offeror on June 5, 2017. Pursuant to such announcement, the Offeror has reserved the right to buy shares of Sponda before, during and/or after the offer period in public trading on Nasdaq Helsinki Ltd or otherwise. Pursuant to such share purchases, the Offeror’s direct holding in Sponda has increased to 7.50 percent.
